Ideia Arsenal License
Version 2026-09-28 · In force since 28/09/2026
This License governs the use of Arsenal Content offered by Ideia Business Soluções Tecnológicas LTDA ("Ideia Business"), CNPJ 30.082.914/0001-00, with its registered office at Rua Siqueira Campos, 940, 1º andar, Centro Histórico, Porto Alegre/RS, CEP 90010-000.

1. What is covered
This license covers all content delivered by Ideia Arsenal to the Member: agents, skills, prompts, the Cérebro Ideia structure, onboarding scripts, installer, manuals, classes, learning paths, recordings and supporting materials, in any version ("Arsenal Content").
The binding definition of Arsenal Content is in chapter 2 of the Terms of Use.
2. Who is the Member
An identified individual, while they have an active plan, for the applicable term in chapters 3.4 (Primeira Iara) or 3.5 (Iara Completa) of the Terms of Use. The license is personal and issued in your name: it cannot be transferred, lent or shared with others. Each plan includes the content described on the purchase page on the date of purchase, with the term in chapter 3.4 of the Terms of Use for Primeira Iara, as set out in chapter 3 of the Terms of Use. Receiving new content (updates, agents and learning paths) requires an active plan; certain rights — the frozen version, the Tempestade Solar community and reading/exporting for 90 days — continue to apply after the plan ends, under item 7. Active license holder means a person with an active plan and the rights set out in item 3. Someone whose plan has ended ceases to hold an active license and becomes a former Member with remaining rights: only those listed in item 7 (frozen version, community already enrolled in, reading/exporting for 90 days), never those in item 3.
3. What the Member can do
While the plan is active, the Member receives a non-exclusive, non-transferable and revocable license to:
- install Arsenal Content in the Member's own environments (VPS, computer, account) under their control;
- use it in your own businesses, up to 3 (three) companies in which the Member is a partner or owner; beyond that, or for other uses, a specific plan is required;
- customize freely: rename the orchestrator and agents, adjust behavior, and create the Member's own agents and skills from the Content;
- receive updates published during the plan.
4. What belongs to the Member (and remains theirs)
- Data and knowledge that the Member enters into their own Iara and agents (profile, memories and business documents) belong to the Member. The provider does not access the Member’s environment without their express request.
- What the agents produce for the Member (text, analyses, creative assets, code) belongs to the Member.
- His creations that do not reproduce a substantial part of Arsenal Content belong to the Member.
5. Prohibited uses
Without our written permission, the Member may not:
- Redistribute, resell, sublicense, rent, lend or offer Arsenal Content, or derivatives reproducing a substantial part of it, to third parties, free of charge or for payment.
- Share access, sign-in links, downloaded files or packages generated for the Member.
- Publish the Content, or derivatives, in a repository, website, public channel or open database.
- Use the Content to build, train or improve a competing product, course, service or AI model, including using prompts, agents and skills as model training or fine-tuning data.
- Install or operate Arsenal Content for the Member's clients (agencies, firms serving a client portfolio, consultants), unless covered by a specific plan purchased separately.
- Reverse-engineer, decompile or attempt to extract source code from parts of the Content delivered in compiled form, except within the limits of art. 6º of Lei 9.609/98.
- Bypass access controls, technical limits or file license identifiers.
- Remove or hide copyright notices and file license identifiers.
6. Traceability
Each package generated by Arsenal is individual: it includes the Member's identification and the version. A package found outside its holder's environment identifies the source of the leak, which is treated as a breach of item 5.
7. Termination
With the end of the plan by expiry of the term (chapter 3.4 of the Terms of Use, for Primeira Iara), cancellation, non-renewal or non-payment:
- updates and access to Órbita Ideia cease;
- the Member may continue using the installed version, only in their own businesses and within the limits of item 3, frozen (no updates, new agents or learning path).
- access to the purchased Tempestade Solar community, if any, is not revoked: it continues for the 12 months of enrollment, separately from the plan (chapter 6.6 of the Terms of Use);
- for 90 days after the plan ends, the Member may read and export the dossier and the "My Business" area; these are then deleted, with prior notice (chapter 6.5 of the Terms of Use).
The violation of item 5 terminates the license immediately, including the right to a frozen version, without prejudice to compensation. A refund under the right of withdrawal or a completed chargeback terminates only the license for the refunded or reversed purchase, with no right to the frozen version, as set out in chapters 7, 8 and 9.8 of the Terms of Use.
In all cases, the Member's data and knowledge (item 4) remain theirs, and the rights holder does not delete them from the Member's environment. Other suspension and termination rules are in chapter 20 of the Terms of Use.
8. Liability
The Arsenal Content is provided as is, with the features described in Órbita Ideia. AI agents can make mistakes: decisions, publications, messages, payments and system changes remain the Member's responsibility and require the Member's approval. The Member is responsible for safeguarding their credentials and for what they authorize their agents to do, as set out in chapters 13 and 19 of the Terms of Use.
9. Third-party content
Part of the Arsenal Content has authorized third-party sources and was rewritten, adapted and curated by Ideia Business for Arsenal. This part is licensed to the Member under chapter 9 of the Terms of Use; any different condition will be stated in the file itself. Third-party software, libraries, models and tools follow their respective rights holders' licenses and terms, as indicated in the file or on the rights holder's website. This license grants no rights over them (chapter 11 of the Terms of Use).
10. Jurisdiction
If the Member is a consumer, jurisdiction lies with the courts of the Member's place of residence for any dispute, under art. 101, I, of the Código de Defesa do Consumidor. If the relationship is not a consumer relationship, jurisdiction lies with the Judicial District of Porto Alegre/RS, to the exclusion of any other jurisdiction, however privileged (chapters 23.2 and 23.3 of the Terms of Use).
11. Team use
People working in the Member's businesses may use the Iara installed by the Member, under the Member's responsibility. This gives them neither access to Órbita Ideia nor the right to a copy of the files (chapter 9.6 of the Terms of Use).
12. Trademarks
“Ideia Arsenal”, “Órbita Ideia”, “Iara”, “Cérebro Ideia”, “Tempestade Solar”, “Método D.E.I.A.” and the agents’ names are trademarks and creations of Ideia Business. You may not use them to identify your own products or services, register similar domains, profiles or trademarks, or imply affiliation, endorsement or partnership without written authorization. You may say that you use Ideia Arsenal, without modifying its trademarks. (Chapter 10.2 of the Terms of Use.)
13. Personal data and contact
The processing of personal data follows the Privacy Policy. The support channels and channels for personal data requests are listed in chapter 25 of the Terms of Use.
14. Relationship with Terms of Use
This License sets out chapter 9 of the Terms of Use as a standalone text. In any conflict with this License, the Terms of Use prevail. The Privacy Policy governs the processing of personal data. Chapter 9 of the Terms of Use prevails over generic notices in the files.
