3. Subject matter

3.1. In return for payment for the plan, we grant you, for the applicable term under chapters 3.4 or 3.5, access to Órbita Ideia and a license to use Arsenal Content (chapter 9). Depending on the plan, access includes:

You may also purchase separately, with its own term independent of your plan, the Tempestade Solar community (chapter 17). It is not included in any plan.

3.2. What each plan includes is described on the purchase page at the time of purchase. If in doubt, the description on the purchase page on the date of your purchase applies.

3.3. Arsenal does not include your VPS, AI Provider account, Telegram account, third-party software licenses or any service to operate Iara on your behalf. You arrange and operate all of these.

3.4. Primeira Iara plan term. Primeira Iara is a one-time purchase, but does not include lifetime access: your right to access Órbita has a time limit, clearly and prominently stated on the purchase page before you buy (article 31 of the CDC), as follows:

After the 12-month term, chapter 6.5 applies: another 90 days to read and export, followed by deletion with prior notice. For withdrawal (chapter 7), refunds and chargebacks (chapter 8), access is revoked immediately, without that reading period in Órbita (end of chapter 6.5); a copy of your data remains available on request under the Privacy Policy. In every case, you keep the Iara installed on your VPS, without updates (chapter 9.8), and any files you have already downloaded.

3.5. Iara Completa term. Iara Completa remains an annual subscription (chapter 6.1): while the plan is active, access to downloads, the dossier, “My Business”, voice and support is not subject to the time limits in chapter 3.4; when the plan ends, chapter 6.5 applies.

3.6. Application of these time limits in the system. These time limits apply to purchases made under this version of the Terms. For earlier contracts, the procedure in chapter 21.2 applies. Until Órbita automatically records the 12-month and 90-day milestones described here, Ideia Business applies them in favour of the member, and never to his or her detriment: until the automatic recording described in chapter 20.1 is available, your access will not be interrupted before the term promised in this chapter, and you can request that a milestone be applied through the channel in chapter 25.

4. Registration, account and security

4.1. How your account is created. Your account is created automatically using the email address provided at purchase, following payment confirmation from Kiwify. We may also create accounts manually (for example, for guests). You are responsible for providing a correct email address that only you can access.

4.2. Magic link. You access Órbita by requesting a link sent to your email. The link is valid for 15 minutes, is valid once and opens a session of 8 hours. There is no Member password. To prevent abuse, we limit requests to 5 link requests every 15 minutes per email address and source; once the limit is exceeded, requests are blocked for 15 minutes.

4.3. Personal, non-transferable account. The account identifies you. You may not transfer, lend, sell or share access, magic links, access emails, downloaded files or packages generated for you. Each package delivered by Arsenal is individual and includes your identification and the version (chapter 9.7).

4.4. Your responsibility. Keep your email inbox secure, because it is your key to access. Any action taken using a magic link sent to your email will be attributed to you, unless evidence of unauthorized access is reported to us without delay. If you suspect unauthorized access, notify us immediately through the channel in chapter 25 so that we can end sessions and block new links.

4.5. What we do for security. The technical measures we use (single-use tokens stored only as hashes, protected session cookies, encryption in transit, attempt limits, audit trails) are described in the Privacy Policy. No system is infallible, so security also depends on you.

4.6. Contact details. Keep your name, email and phone number up to date. Notices about the contract, billing, security and changes to these Terms go to your registered email address.

5. Plans, prices and payment

5.1. Where to buy. Plans and community are sold by Kiwify, a payment platform that processes and intermediates the transaction. Payment methods, installments, clearing times (Pix, boleto, card) and billing rules are those of Kiwify, as stated on the purchase page. We do not receive or store your card details.

5.2. Price. The price is the amount shown on the purchase page at the time of purchase, in Brazilian reais, including taxes. Promotions, coupons and special terms apply only for the period and under the conditions advertised. We may change prices for new periods or new purchases; changes do not affect a period already paid for.

5.3. Access activation. Access is activated automatically when Kiwify confirms payment. Boleto and Pix payments must clear first; until then, access remains pending. If a technical failure prevents access within 24 hours of confirmation, contact us (chapter 25) and we will resolve it.

5.4. Tax invoice. Ideia Business issues the tax invoice for the sale and sends it to the email address used for the purchase. Kiwify separately issues the tax invoice for its fee (its payment intermediation charge).

5.5. Payment platform. We may use another payment platform alongside or instead of Kiwify, as stated on the purchase page. The rules in this chapter apply equally to it.

5.6. Credit when upgrading to Iara Completa. If you purchased Primeira Iara and purchase Iara Completa within 30 (thirty) days from your Primeira Iara purchase, the amount paid for Primeira Iara becomes full credit toward Iara Completa.

6. Renewal, late payment and cancellation

6.1. Subscription. Plans sold as subscriptions (for example, the annual plan Iara Completa) renew automatically at the end of each period at the current price communicated to you in advance, unless canceled before renewal. Kiwify charges the renewal to the registered payment method.

6.2. One-time purchase. Primeira Iara and other items sold as one-time purchases do not renew; the right of use follows the license rules (chapter 9) and, where applicable, the term in chapter 3.4.

6.3. Late payment. If renewal fails or a charge remains pending, your access to Órbita is suspended while payment remains pending. Once payment is settled, access returns automatically. Suspension does not entitle you to an extension or a discount.

6.4. Cancellation by the Member. You may cancel your subscription at any time through Kiwify (the buyer area or the link in your purchase email) or our support service (chapter 25). Cancellation prevents the next renewal; access continues until the end of the paid period, unless you exercise the right of withdrawal (chapter 7). Amounts for the current period are not refunded proportionally, except in the cases in chapters 7 and 8.

6.5. Effects of the plan ending. When the plan ends (expiry under chapter 3.4, cancellation, non-renewal or non-payment): (a) access to Órbita, updates, the learning path and the installer ends; (b) you retain the right to use the installed version, without updates, under chapter 9.8; (c) when access to the dossier and “My Business” ends (after the 12-month term in chapter 3.4 for Primeira Iara, or when the plan ends for Iara Completa), an additional period begins of 90 (ninety) days for you to read and export what is there; the end of voice or support alone (chapter 3.4) does not start that period. After the export period, we delete them, with prior notice to you; (d) otherwise, your data is processed under the Privacy Policy. The rule in item (c) does not apply to withdrawal (chapter 7), refunds and chargebacks (chapter 8), or termination for breach of these Terms (chapter 20.2), where access is revoked immediately.

6.6. Tempestade Solar community after the plan ends. The community is sold separately and access lasts for 12 (twelve) months from your enrollment in the community, whether or not you have an active plan during or after that period (chapter 17.1). The end of your plan does not revoke or suspend your community access: it continues until 12 months from enrollment have elapsed. This does not apply to withdrawal (chapter 7), refunds and chargebacks (chapter 8), or termination for breach of these Terms (chapter 20.2), where community access is revoked immediately.

7. Right of withdrawal (7 days)

7.1. Because the purchase is made online, you may withdraw from it, without giving a reason, up to 7 (seven) calendar days from the purchase (payment confirmation) or from the release of the purchased item — access to Órbita or the community — if that occurs later; the date most favorable to you applies, under article 49 of the Consumer Protection Code. This applies to plans and the community, each counted from its own purchase, and to all distance sales: it is a general consumer right, not a benefit of a plan or offer.

7.2. How to exercise this right. Submit your request within the deadline through one of these channels:

We will confirm receipt of the request immediately by e-mail.

7.3. Refund of the amount paid. The amount paid is returned in full, adjusted for inflation, and immediately, using the same payment method: upon receiving the request, we notify Kiwify and the payment institution of the withdrawal so that the charge is not posted or is reversed. The time it takes for the refund to appear on the statement depends on the card issuer.

7.4. Effect on access. When you request a refund, we revoke access linked to the purchase you withdrew from: if it is the plan, access to Órbita and packages generated for you under that plan cease to be licensed, and you must delete the corresponding Arsenal Content you downloaded or installed; if it is the community, only that item is affected, without affecting your plan. Since the community has its own term (chapter 6.6), withdrawing from the plan does not automatically cancel a community purchased alongside it: if you want to withdraw from both, request both, each within its own deadline (chapter 7.1). Exception: if, under the terms of the offer, the community constitutes an ancillary contract to the plan (for example, automatically included in the same purchase, without a separate charge clearly stated on the purchase page), withdrawing from the plan also ends community access, without requiring a second request, under article 5, §2, of Decree 7.962/2013. The right to a frozen version (chapter 9.8) does not apply to the purchase you withdrew from.

7.5. The right of withdrawal does not affect your other rights, such as the right to complain about service defects within the time limits set by the CDC.

8. Refunds and chargebacks

8.1. After the 7 days. After the period in chapter 7, refunds for a change of mind are not available. Your rights in the event of a service defect (article 20 of the CDC), such as a service not provided or a significant unresolved outage, remain guaranteed. In those cases, you may request that the service be performed again, a proportional price reduction or a refund, as provided by law.

8.2. Chargeback. If you dispute a charge with your bank or card issuer, the dispute alone does not revoke anything. When Kiwify informs us that the charge has been actually reversed (chargeback), we revoke access linked to that charge (the plan or community it paid for); other purchases follow their own rules. If the reversal resulted from a billing error by us or the platform, or if it is undone, we restore access as soon as we learn of it (contact us under chapter 25). If the dispute is improper (for example, to keep the product without paying), we consider this a breach of contract and may refuse new purchases, without prejudice to recovery of the amount owed.

8.3. Refund of an earlier charge. A refund of a charge superseded by a paid renewal does not cancel the right granted by that renewal; each charge corresponds to its own period.

8.4. Our error. If we charge you twice or charge an incorrect amount, we refund the difference as soon as we discover it, and you may claim repayment of twice the amount in the cases covered by article 42, sole paragraph, of the CDC.

9. License to use the Arsenal Content

This chapter incorporates the Ideia Arsenal License and prevails over any generic warning contained in the files.

9.1. What is covered. All Arsenal Content (definition in chapter 2), in any version.

9.2. Who is licensed. You, an identified individual, while you have an active plan. The license is personal and issued in your name: it cannot be transferred, lent or shared.

9.3. What you may do. While the plan is active, you receive a license that is non-exclusive, non-transferable and revocable and allows you to:

9.4. What belongs to you and stays yours.

9.5. What is prohibited. Without our written permission, you can't:

9.6. Use by your team. People working in your businesses may use the Iara you installed, under your responsibility. This does not give them access to Órbita or the right to copy the files.

9.7. Traceability. Each package generated by Arsenal is individual: it includes your identification and the version. A package found outside its owner’s environment identifies the source of the leak, which will be treated as a breach of chapter 9.5.

9.8. Termination and frozen version. When the plan ends through expiry of the term in chapter 3.4, cancellation, non-renewal or non-payment:

The breach of chapter 9.5 terminates the license immediately, including the right to a frozen version, without prejudice to damages. A withdrawal refund (chapter 7) or chargeback (chapter 8) terminates only the license for the refunded or reversed purchase, without the right to retain a frozen version; anything you purchased and paid for through other charges remains licensed.

In any case, your data and knowledge (chapter 9.4) remain yours, and we do not delete them from your environment.

9.9. As is. Arsenal Content is provided as is, with the features described in Órbita. AI agents can make mistakes: decisions, publications, messages, payments and system changes remain subject to your responsibility and approval (chapters 13 and 19).

10. Intellectual property and trademarks

10.1. The Arsenal Content, Órbita, website, text, images, videos, design, and agents’ names and personalities are protected by Brazil’s Copyright Act (Law 9.610/98), Software Act (Law 9.609/98) and Industrial Property Act (Law 9.279/96), and belong to Ideia Business or its licensors. These Terms grant you only the license in chapter 9, without transferring ownership.

10.2. “Ideia Arsenal”, “Órbita Ideia”, “Iara”, “Cérebro Ideia”, “Tempestade Solar”, “Método D.E.I.A.” and the agents’ names are trademarks and creations of Ideia Business. You may not use them to identify your own products or services, register similar domains, profiles or trademarks, or imply affiliation, endorsement or partnership without written authorization. You may say that you use Ideia Arsenal, without modifying its trademarks.

10.3. If you send us suggestions, ideas or use cases (for example, through Retorno or the community), you authorize us to use them to improve the product, without any obligation to pay you and without identifying you unless you give permission.

11. Third-party content and content from authorized sources

11.1. Part of the Arsenal Content has authorized third-party sources and has been rewritten, adapted and curated by Ideia Business for Arsenal. This part is licensed to you under the same terms as chapter 9. Any item with different conditions will state them in the file itself.

11.2. The Content may include or reference third-party software, libraries, models and tools (for example, the open-source agent installed on your VPS by the installer, Telegram and AI Providers). These are governed by their owners’ licenses and terms, as indicated in the file itself or on the owner’s website. These Terms grant you no rights over them.

11.3. Links to third-party websites and services are provided for convenience. We do not control or accept responsibility for their content, availability or practices.

12. Nature of the product and no guarantee of results

12.1. Arsenal is a set of tools and educational content. It teaches a method, provides agents and skills, and shows you how to use them. Results depend on factors outside our control: your business, your commitment, your market, the quality of the data you provide, the tools you subscribe to and the decisions you make.

12.2. We do not promise revenue, profit, savings, customer numbers, ranking positions, platform approval or any specific result. Examples, case studies and testimonials presented in Órbita or the community reflect people’s experiences in their own contexts and do not guarantee that you will achieve the same result.

12.3. Nothing in Arsenal constitutes legal, accounting, tax, financial, medical or other regulated professional advice. Consult a qualified professional for decisions of this kind.

13. Use of artificial intelligence and third-party providers

13.1. The account and key belong to you. Iara and the agents run on a language model supplied by an AI Provider (for example, OpenAI or Anthropic) that you subscribe to, through your account, with your credentials. Use of this account is subject to the Provider’s terms, usage and privacy policies, and limits. You are responsible for subscription costs, usage costs (tokens) and overage charges.

13.2. We are not a party to the contract between you and the AI Provider, and are not responsible for the Provider’s unavailability, price, model or policy changes, or its blocking or suspension of your account. If changes by the Provider affect Arsenal, we will make reasonable efforts to adapt the Content, without guaranteeing a timeframe.

13.3. AI makes mistakes. Language models can produce incorrect, incomplete, biased, outdated or fabricated content, and may perform actions differently than expected. You must review everything that Iara and the agents produce before using, publishing, sending or making decisions based on it. You must configure agents that can act (send messages, publish, change systems, make payments) with appropriate approvals, limits and permissions. Arsenal Content instructs them to ask for your OK before significant actions, but final configuration and supervision are your responsibility.

13.4. Legal use. You agree to use AI lawfully and ethically, without: violating third-party rights; generating illegal, discriminatory or misleading content, or content that impersonates another person without authorization; circumventing the Provider’s usage policies; or using agents for fraud, spam, harassment or unlawful surveillance.

13.5. Transparency. When agents speak to third parties on your behalf (for example, leads and customers), you must disclose that the interaction involves automation whenever required by law or good faith, and provide a way to reach a human.

14. Your customers’ data: you are the controller

14.1. When you use agents for customer service, presales, CRM, prospecting, scheduling or any other activity that processes data about your customers, leads, employees or suppliers, you are the controller of this data under the LGPD (Law 13.709/2018). We do not receive, access or process this data: it remains in your environment (your VPS, accounts and systems) and passes through your AI Provider and the platforms you connect.

14.2. Your duties include: having a legal basis for each processing activity; informing data subjects; honoring their rights; contracting your processors (AI Provider, hosting, CRM, WhatsApp/Meta) with appropriate safeguards; assessing international transfers you carry out; adopting security measures; and notifying the ANPD and data subjects of incidents when required.

14.3. Sensitive data, data about children and adolescents, and health data require special care. Do not use agents to process these categories without a specific legal basis and a risk assessment.

14.4. You will hold us harmless against any claim, regulatory enforcement action or damage arising from your processing of third-party data, except to the extent caused by a defect in our service.

15. Messages to third parties (WhatsApp, Instagram, e-mail)

15.1. By using agents that send messages (for example, WhatsApp presales, Instagram Direct, email), you agree to:

15.2. You are responsible for any block, ban or penalty a platform applies to your account for improper use. The operational limits suggested in the skills are guidance, not a guarantee against account restrictions.

16. Iara installer

16.1. What it does. The installer, available in Órbita, installs Iara on your VPS using the information you provide: the VPS IP address, the root user password or a private SSH key (one of the two), the token for the Telegram bot you created, your numeric Telegram ID and your chosen AI Provider (ChatGPT/OpenAI or Claude/Anthropic). Optionally, the VPS host public key, to verify the server’s identity.

16.2. What happens to your credentials. Here we describe what our code does and commit to maintaining these practices:

16.3. Authentication with the AI Provider. Iara is authenticated on your Provider account, on your VPS. In the ChatGPT/OpenAI flow, you authorize access using the link and code shown by the Provider; in the Claude/Anthropic flow, you copy the authorization code shown by Anthropic and paste it into the installer, which forwards it to your VPS once and discards it. We do not store the Provider’s API keys or tokens. The resulting credentials remain on your VPS, under your control.

16.4. What stays on your VPS. The installer writes the following to your VPS: the open-source agent that runs Iara (a version pinned by Ideia Business), the service that keeps it running, and the configuration file with the bot token and your Telegram ID (so that only you can speak to your Iara) and, in the Claude flow, the Provider’s command-line tool. If installation fails partway through, the installer removes what it created. If the VPS already has an earlier installation, the installer refuses to proceed and changes nothing.

16.5. Where the installer runs. The installation service runs on an Ideia Business server hosted by a third-party cloud provider (Hetzner Online GmbH, in a data center in the United States), protected by HTTPS and accessible only after you sign in to Órbita and through a secret shared between Órbita and the service. This server is shared with other Ideia Business services and is operated under the care described in the Privacy Policy.

16.6. Your responsibility and risks. By using the installer, you declare that you own the VPS or have permission to install software on it, and understand that:

16.7. We may change, suspend or discontinue the installer, offering an alternative (for example, manual installation instructions) while your plan is active.

17. Tempestade Solar community

17.1. The community is a space for Members to exchange ideas, currently in a Telegram group, with regular meetings. It is always purchased separately, for a term of 12 (twelve) months from your enrollment, clearly stated on the purchase page (article 31 of the CDC): it does not depend on having an active plan, and the end of your plan does not end access to it (chapter 6.6). Access continues to depend on the status of the own community payment (chapters 6 to 8: late payment, withdrawal, refund and chargeback for that purchase). Telegram is a third-party service with its own terms.

17.2. Conduct rules. In the community you may not: insult, harass, discriminate against or expose others; spam, advertise, recruit or sell without permission; share Arsenal Content, access or packages (chapter 9.5); disclose third parties’ personal data without authorization; publish illegal, pirated or rights-infringing content; use bots or automation in the group without authorization; or impersonate another person or the Ideia Business team.

17.3. Moderation. Moderators may remove messages, warn, mute or remove Members who break these rules, at our reasonable discretion and, where possible, with notice of the reason. Removal from the community for misconduct does not entitle you to a refund. Serious cases may lead to account termination (chapter 20).

17.4. Members’ content. What you post in the community belongs to you; by posting, you authorize us to keep it in the group and use it, without identifying you, to improve the product. Recordings of meetings may be made available to Members; if you do not want to appear, keep your camera and microphone off or let us know beforehand.

17.5. Profile and ranking. Gamification features (points for completing lessons, installing skills, attending meetings and publishing a case study) may exist in Órbita. Your profile and ranking are visible to other Members only if you activate the public profile option; it is private by default.

17.6. Iara Completa included with the cohort. When the Tempestade Solar purchase page states that Iara Completa is included, that access lasts for the period stated there, from your enrollment — today, 3 (three) months. After that period, access through Iara Completa follows chapters 3.5 and 6.5, unless you already have or purchase Iara Completa through another route.

18. Availability, maintenance and content changes

18.1. We make reasonable efforts to keep Órbita continuously available, but we do not guarantee a service level (SLA) or uninterrupted availability. Interruptions may occur due to maintenance, updates, provider failures (hosting, database, email, payment), attacks, fortuitous events or force majeure. We will give notice of significant scheduled maintenance whenever possible.

18.2. Arsenal Content evolves: we may add, update, reorganize, rename or remove agents, skills, lessons and materials to improve the product or meet third-party requirements (for example, changes by an AI Provider or platform). During your plan, we will not remove essential functionality advertised at purchase without offering an equivalent or the alternative in chapter 8.1.

18.3. Backups. We maintain backups of Órbita and the database in accordance with our providers’ practices. We do not back up your VPS, your Iara or your data in your environment; that is your responsibility.

18.4. A significant interruption caused by us and not resolved within a reasonable time entitles you to the rights in chapter 8.1.

19. Liability

19.1. What we are responsible for. Under the Consumer Protection Code and the Civil Code, we are liable for defects in our service and for damage we cause through willful misconduct or negligence. Nothing in these Terms excludes or reduces your legally guaranteed rights as a consumer.

19.2. What falls outside our service. We are not liable for damage arising from:

19.3. Limit. Except where the law does not allow liability to be limited (service defects, willful misconduct, gross negligence, or harm to consumers protected by mandatory law), our total liability under this contract is limited to the amount you paid Ideia Business in the 12 months preceding the event, and does not cover lost profits or indirect damage.

19.4. If you are not a consumer (professional use at scale, by a legal entity with a team, or under a specific agency plan), the limit in chapter 19.3 applies in full, except in cases of willful misconduct.

20. Suspension and closure

20.1. Payment-related suspension and termination. Access is suspended while a charge is pending; it is revoked for the affected purchase or charge when a refund or chargeback takes effect (chapters 7 and 8). When the plan ends through expiry of the term in chapter 3.4, cancellation or non-renewal, access to Órbita ends, subject to the 90-day right to read and export in chapter 6.5; the community, if you have it, continues for its own term, without revocation (chapter 6.6). These changes are applied automatically following confirmation from the payment platform or expiry of the term; if you believe there has been an error, contact us (chapter 25) and a team member will review it.

20.2. For breach. We may suspend or close your account, with notice and time to respond whenever possible, if you: breach the license (chapter 9.5); share access; use the product for unlawful purposes; seriously or repeatedly breach community rules; commit payment fraud; or attack Órbita’s security. In serious or urgent cases, suspension may be immediate, with notice afterward.

20.3. Effects. On termination for breach, the entire license ends (with no frozen version), without a refund for the current period and without prejudice to damages. You must delete Arsenal Content from your environments.

20.4. At our initiative, through no fault of yours. If we decide to discontinue Arsenal, we will give you at least 30 days of advance notice and will refund, proportionally, the amount for paid periods you have not used. If we discontinue the Tempestade Solar community before 12 months from enrollment have elapsed, we will refund the portion of the amount paid corresponding to the time remaining to complete those 12 months, calculated on the date access actually ends and counted in calendar days (days remaining until the 12-month enrollment anniversary divided by the number of days between enrollment and that anniversary; for example, after 3 months of enrollment, we refund approximately 75% of the amount paid); enrollments of 12 months or more do not qualify for a refund under this provision. The frozen version (chapter 9.8) remains yours.
